Terms of Use

These Terms of Use (the “Terms”) govern your access to and use of the websites, portals, applications and interfaces operated by Ironarb Capital (“we”, “us” or the “Platform”), together with the analytics, signals, research, educational materials and other digital content delivered through them and any support channels we make available.

These Terms apply to visitors and to registered users, including users who purchase subscriptions for signals and analytics. Where we offer separate services under their own agreement, those services are governed by that agreement and nothing in these Terms is intended to override it for matters within its scope.

By accessing or using the Platform, creating an account, purchasing a subscription, submitting content, or contacting support, you agree to be bound by these Terms. If you do not accept these Terms, you must not use the Platform.

These Terms are supplemented by our privacy policy, by any plan descriptions, pricing information or product-specific terms displayed at the point of purchase, and by any additional policies we publish for security, acceptable use or support conduct. Where there is a conflict, product-specific or purchase-flow terms applicable to a particular feature take precedence over these Terms, which in turn take precedence over our other general policies.

In these Terms:

• “Account” means a Platform user account used to access digital services and support features.
• “Content” means all materials made available on the Platform, including analytics, charts, insights, watchlists, alerts, research commentary, educational materials and tool outputs.
• “Subscription” means a paid recurring plan granting access to specified digital services for the relevant subscription period.
• “User Content” means any content you upload, send, post or otherwise provide through the Platform, including files, messages and support submissions.
• “You” means the individual user and, where applicable, the entity on whose behalf the user acts.

Headings do not affect interpretation, and “including” means “including without limitation”.

You may create an Account to access certain Platform features without completing any additional onboarding we may require for separate services. You must provide accurate and complete information when registering and keep that information up to date.

Creating an Account does not by itself entitle you to any service that we provide under a separate agreement, which may require its own onboarding, verification and assessment.

You are responsible for maintaining the confidentiality of your credentials and for all activity conducted through your Account, except to the extent caused by our failure to apply reasonable security measures. You must promptly contact us if you suspect unauthorised access, credential compromise or suspicious activity.

We may implement security controls, including multi-factor authentication, device verification and anomaly detection, and may require you to reset credentials or re-verify access from time to time.

Subject to these Terms and to payment of applicable fees, we grant you a limited, non-exclusive, non-transferable and revocable right to access and use the Platform for lawful purposes in connection with your personal or internal business use of the digital services.

You must not, and must not attempt to:

• use the Platform in breach of any applicable law or regulation;
• circumvent paywalls, authentication, usage limits or security controls;
• interfere with or disrupt the Platform, including by introducing malware or conducting denial-of-service attacks;
• scrape, harvest, mine or systematically extract Content or data by automated means without our prior written consent;
• reverse engineer, decompile, disassemble or otherwise attempt to derive the source code, models, prompts or underlying logic of the Platform, except to the extent permitted by mandatory law;
• use the Platform to develop, train, test or improve competing products, services, datasets or models;
• submit User Content that is unlawful, infringing, defamatory, abusive, misleading or that contains harmful code;
• impersonate any person or misrepresent your affiliation; or
• use the Platform to provide services to third parties, including reselling, sublicensing or service-bureau use, unless we expressly permit this in writing.

We may monitor and analyse usage to protect the Platform, enforce these Terms and manage fraud and security risk.

Unless we expressly agree otherwise in writing, Content is provided for general informational and educational purposes only. Content, including signals, insights, model outputs and commentary, does not constitute investment advice, a personal recommendation, or an offer or solicitation to buy or sell any financial instrument.

You are responsible for verifying information and for your own decisions, and you should obtain independent professional advice appropriate to your circumstances. Financial markets are volatile, and past performance, including any backtests or hypothetical examples, is not a reliable indicator of future results.

Where the Platform provides trading signals or alerts, analytics or insights, these may be generated using rule-based logic, quantitative models, third-party data and automated systems, and may be presented in a research-style format that references entries, targets, invalidation levels or risk parameters.

You acknowledge that any signal or analytics output may be wrong, delayed, incomplete or unsuitable for your circumstances, and that you remain solely responsible for how you use the output.

The Platform may include features that use automated systems and artificial intelligence to summarise information, highlight patterns or assist your workflow. These outputs may be inaccurate, incomplete or contextually inappropriate, and you must independently verify any output before acting upon it, particularly where financial decisions are concerned.

You must not submit confidential third-party information, personal data you do not have rights to share, or sensitive data you do not wish to be processed in accordance with our privacy policy.

The Platform may include third-party content and services, such as charts, market data or news, which are subject to their own terms and policies. We do not control and are not responsible for third-party services, websites, content accuracy, availability or security. Links are provided for convenience and do not imply endorsement.

Subscription plans, entitlements, usage limits and included features are described on our pricing information and during checkout, and access is limited to the plan you purchase. Subscriptions are billed in advance on a recurring basis and, unless cancelled before renewal, will renew automatically for the same term at the then-current price for the plan.

You must provide a valid payment method, and we may use third-party payment processors. You authorise us, and our processors, to charge recurring fees and any applicable taxes. Where we offer a trial or promotional pricing, the terms will be disclosed at sign-up and, unless stated otherwise, the plan will convert to paid access and renew automatically until cancelled.

We may change subscription pricing or plan features, and where a change affects your plan we will provide notice through the Platform and any change will apply from your next renewal unless stated otherwise or required by applicable law. If a payment fails, we may retry the charge, suspend access to paid features or downgrade your Account until payment is successfully processed, and you remain responsible for outstanding amounts.

You may cancel a Subscription through your Account settings, where available, or by contacting us. Cancellation stops future renewals, and you may retain access until the end of the current paid period unless we state otherwise at purchase. Unless required by applicable law or expressly stated at purchase, fees are non-refundable, although we may at our discretion provide credits or refunds in limited circumstances such as duplicate charges or billing errors. Prices may be exclusive of applicable taxes, and you are responsible for any taxes associated with your purchase.

We provide support through the channels made available on the Platform, and the scope and response times of support may vary by plan. Where you upload files to support channels, you must ensure that those files do not contain malware or harmful code, do not infringe third-party rights, and do not include personal data you are not authorised to share.

We may scan uploads for security purposes and may block, quarantine or delete files that we reasonably believe pose a risk or breach these Terms. We may retain support communications and uploaded files for operational, compliance and dispute-resolution purposes in accordance with our privacy policy and retention practices.

The Platform and the Content, including software, designs, text, databases, research formats and branding, are owned by or licensed to Ironarb Capital and are protected by intellectual property laws. Except as expressly permitted, you must not copy, distribute, republish, sell, sublicense, create derivative works from, or otherwise exploit the Content.

Unless we expressly permit otherwise, Content is licensed for your personal or internal use and must not be redistributed, including through social media, paid groups or signal redistribution services.

You retain ownership of your User Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, transmit and use User Content solely to provide and operate the Platform and support services, to respond to your requests, to enforce these Terms, and to comply with legal and regulatory obligations.

You represent and warrant that you have all rights necessary to provide your User Content and to grant the licence described above.

We may modify, update, suspend, withdraw or discontinue any part of the Platform or its digital services, including features, integrations and supported devices, for security, operational, compliance or business reasons. We do not guarantee uninterrupted availability, and scheduled or emergency maintenance, outages, latency and third-party failures may occur from time to time.

To the maximum extent permitted by applicable law, the Platform and the Content are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including warranties of accuracy, completeness, timeliness, fitness for a particular purpose or non-infringement.

Nothing in these Terms affects any statutory rights you may have that cannot be excluded under applicable law.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded under applicable law.

Subject to the paragraph above, we will not be liable for any indirect, incidental, special, consequential or punitive losses; for loss of profit, revenue, business, goodwill, opportunity or anticipated savings; for loss or corruption of data; or for losses arising from third-party services, market data issues, outages or events outside our reasonable control. To the maximum extent permitted by applicable law, our aggregate liability arising out of or in connection with these Terms, whether in contract, tort or otherwise, is limited to the fullest extent allowed under applicable law.

To the extent permitted by applicable law, you will indemnify and hold us harmless from losses, liabilities, costs and expenses, including reasonable legal fees, arising out of or in connection with your breach of these Terms, your unlawful use of the Platform, or the infringement of third-party rights through your User Content or your misuse of Content.

We may suspend or terminate your access to the Platform immediately if we reasonably believe you have breached these Terms, pose a security or legal risk, or where required by applicable law. You may stop using the Platform at any time and may request Account deletion, subject to legal, compliance and operational retention requirements.

Provisions that by their nature should survive termination, including those relating to intellectual property, disclaimers, limitation of liability, indemnity and governing law, will survive.

These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by the laws of the applicable jurisdiction in which we operate. The courts of that jurisdiction have exclusive jurisdiction, subject to any mandatory consumer protection rights available to you under applicable law.
